Overview
An OPC is a private limited company with a single shareholder. You get a separate legal identity and limited liability, and you avoid the awkward workaround of adding a family member as a token second shareholder purely to satisfy the two-person rule.
You must nominate one person who takes over the shares if you die or become incapacitated. An OPC must convert into a private limited company if paid-up capital crosses ₹2 crore or average turnover crosses ₹20 crore.
