Overview
A private limited company is a separate legal person. It can own assets, sign contracts and be sued in its own name, which means your personal savings are not on the line if the business runs into trouble. It is also the only structure Indian and foreign investors will reliably put money into, because equity can be issued, split and transferred cleanly.
Incorporation happens entirely online through the MCA's SPICe+ form, which bundles name reservation, incorporation, PAN, TAN, EPFO, ESIC and a bank account opening request into one submission. We prepare and file all of it, and hand you the Certificate of Incorporation along with your MOA, AOA and DIN for each director.

How the filing runs
- Day 1
Documents and name check
You upload KYC documents. We run your proposed names against the MCA register and the trademark database, and tell you which ones will actually clear.
- Day 2–3
Digital signatures issued
Each director completes video KYC and receives a Class 3 DSC, which is what signs the incorporation forms.
- Day 4–6
Name approved
SPICe+ Part A is filed. The Central Registration Centre usually responds within two working days.
- Day 7–10
Incorporation filed
MOA, AOA, INC-9 and AGILE-PRO are filed together with SPICe+ Part B.
- Day 10–12
Certificate issued
The Certificate of Incorporation arrives with your CIN, PAN and TAN. You can open a current account the same day.
Questions about private limited company
01How many people do I need?
Two — a minimum of two directors and two shareholders. The same two people can hold both roles. At least one director must have stayed in India for 182 days or more in the previous financial year.
02Is there a minimum capital requirement?
No. The minimum paid-up capital requirement was removed in 2015. Most founders start with ₹1 lakh authorised capital because stamp duty is lowest at that slab.
03Do I need a commercial office address?
No. A residential address works, as long as you have a utility bill in the owner's name and a signed No Objection Certificate from them.
04What does it cost to keep running?
Budget roughly ₹12,000–₹25,000 a year for statutory audit, annual ROC filings and income tax return. We quote this before you incorporate, not after.
