Overview
LLP late-filing penalties are the harshest in Indian corporate law — ₹100 per day per form with no cap — so a forgotten LLP can accumulate lakhs in fees. Closure under Form 24 stops the clock.
The LLP must have no creditors, must have filed all overdue returns up to the cessation date, and must have closed its bank account. Every partner signs an affidavit and indemnity.
